1. Used Goods – Wholesale Supply

HUXLEY MACHINERY PTY. LIMITED (“Huxley Machinery”, “we”, “us”, “our”) supplies used, second-hand, surplus and reconditioned machinery, engines, equipment and components primarily on a wholesale, business-to-business basis.

Unless expressly stated in writing, all goods are pre-owned.

2. Strict No Warranty Sale

To the maximum extent permitted by law, all goods are sold strictly on an:

“AS-IS, WHERE-IS, WITH ALL FAULTS” basis.

Huxley Machinery provides no warranties whatsoever, including:

No express warranties

No implied warranties

No warranties of merchantability

No warranties of fitness for purpose

No warranties of durability, reliability, or service life

No performance guarantees

Goods may contain faults, wear, prior repairs, hidden defects, or age-related deterioration.

Pricing reflects the no-warranty nature of wholesale used equipment sales.

3. Commercial & Wholesale Transactions

Our products are generally supplied to:

Businesses

Mechanics and workshops

Contractors

Dealers and resellers

Industrial and commercial operators

Buyers acknowledge they are purchasing used goods for commercial purposes and assume associated risks.

4. Inspection & Buyer Responsibility

Buyers are solely responsible for their own due diligence.

Buyers are strongly encouraged to:

Inspect goods prior to purchase

Request additional information

Arrange independent mechanical inspections

Seek professional advice where required

Completion of purchase confirms the buyer accepts the condition of the goods in full.

5. Transfer of Risk

All risk transfers to the buyer immediately upon:

Collection of goods; or

Delivery; or

Release to a freight or transport provider

From that point forward, the buyer is fully responsible for:

Repairs and servicing

Mechanical failure

Maintenance

Operational losses or downtime

6. Limitation of Liability

To the maximum extent permitted by law, Huxley Machinery is not liable for:

Mechanical defects or failures

Loss of profit or income

Downtime or business interruption

Property damage

Personal injury arising from use

Transport, installation or compatibility issues

Any indirect, incidental or consequential loss

7. No Reliance on Statements

All descriptions, photos, videos, discussions or estimates are provided as general guidance only.

Buyers acknowledge that:

They rely solely on their own assessment

No verbal or informal statements constitute warranties

Only written terms issued by Huxley Machinery are binding

8. Australian Consumer Law

Nothing in these terms excludes rights that cannot be excluded under the Australian Consumer Law (ACL).

Where non-excludable guarantees apply, Huxley Machinery’s liability is limited, at our discretion, to:

Repair of goods

Replacement of goods

Supply of equivalent goods

Payment of reasonable repair or replacement costs

In many wholesale, commercial or business-to-business transactions involving used equipment, statutory consumer guarantees may not apply.

9. Indemnity

The buyer agrees to indemnify and hold harmless Huxley Machinery from any claims, losses, damages or expenses arising from:

Possession, use or operation of goods

Installation or modification

Transport or resale

Failure to maintain or operate safely

10. Governing Law

These terms are governed by the laws of the Commonwealth of Australia and the relevant State or Territory in which Huxley Machinery operates.

11. Acceptance

Purchase of goods or use of this website constitutes acceptance of these Warranty Terms.
